Organizational and legal forms of incorporation of legal entities in Georgia are:

  • Individual Enterprise
  • Limited Partnership (LP)
  • Special Partnership (SP)
  • Limited Liability Company (LLC)
  • Joint Stock Company (JSC)

Limited Liability Company

To register a limited liability company (LLC) one shall provide the following documents:

  • Corporate name
  • Minutes of partners meeting on establishment of a subsidiary in Georgia
  • Extract from Commercial Register
  • Power of attorney for a person authorized to act on behalf of the founders (partners)
  • Articles of incorporation
  • Memorandum of association

These documents shall be notarized and carry an apostil from the country of residence of the founding company (other than CIS countries).

Minimum issued capital for a limited liability company is 100 GEL*

Joint Stock Company

To register a joint stock company (JSC) one shall provide the same documents as for the registration of a LLC. In addition, one shall also provide the minutes of the Supervisory Board meeting and personal data about the directors and Supervisory Board members (name, place and date of birth, profession and residence).

Minimum share stock for a joint stock capital amounts to 15000 GEL*

Partnerships

A limited partnership is a company where several individuals are carrying out jointly and under a single corporate name a repeated and independent entrepreneurial activity. The partners do not have an issued capital and are held jointly and severally liable for obligations. Their responsibility amounts to the total of their property. Only individuals can be partners.

A special partnership is a company of mixed type with limited liability partners and joint liability partners.
