Company registration in Kazakhstan is regulated by Civil Code of Kazakhstan Republic (June 06, 2002), Law "On foreign investments" (May 19, 1992), Law "On investment activity" (May 19, 1992), Law "On legal entities" (February 06, 1996).

Main forms of incorporation:

  • Limited liability partnership
  • Joint stock company
  • Representative/Branch office

Minimum issued capital:

  • LLC - 110 000 Tenge (900 US Dollars)
  • JSC - 51 500 000 Tenge (450 000 US Dollars)

Requirements:

  • Company name
  • Legal address in Kazakhstan and contact details
  • Passport data of Participants and Director of the company (name, surname, residence address, citizenship, personal code)
  • The size of issued capital of the company and methods of its contribution
  • Type of activity
  • Choice of a bank, where accumulative/current accounts will be opened

All documents have to be notarized by appropriate local authorities and legalised by the Kazakh Embassy in the country of Participants (Shareholders) or in accordance with Hague Convention (1961) must bear Apostil, issued by the appropriate state agency after the notarisation of each document.

Presence of participants (shareholders):

  • Presence is not necessary – everything can be made with power of attorney.

Incorporation time:

  • From 25 working days after the submission of documents.
